Welcome to ModeAI, an AI-powered iOS application developed by ModeAI ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the ModeAI app (the "App"), including all features, services, and integrations provided therein. By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.

1. Description of the Service

ModeAI is an AI assistant platform designed to enhance productivity and user experiences through intelligent assistants powered by large language models (LLMs) from providers such as ChatGPT, Grok, Perplexity, and others. The App includes:

• AI Assistants: Customizable assistants that handle tasks, answer queries, and provide insights using integrated LLMs.

• Browser Features: Built-in web browsing capabilities for research and information retrieval.

• Community Hub: A space for users to share, collaborate, and engage with community-driven content and assistants.

• Google Integrations: Seamless connections to Google services, including but not limited to Google Docs, Google Sheets, Gmail, Google Maps, and other Google APIs. These integrations allow AI assistants to perform user-directed tasks, such as creating documents, managing emails, analyzing spreadsheets, providing directions, or automating workflows, all with your explicit authorization.

We may update or add features to the App at any time, and these Terms will apply to all such updates.

2. Eligibility and Account Registration

You must be at least 18 years old or the age of majority in your jurisdiction to use the App. By using the App, you represent that you meet these requirements.

To access certain features, including Google integrations, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Google Integration and Authorization

ModeAI integrates with Google services to enable AI assistants to assist with your tasks. To use these integrations:

• You must have a valid Google account and authorize ModeAI via Google's OAuth authentication process.

• By granting access, you permit ModeAI to access, store, and process data from your Google services (e.g., emails in Gmail, documents in Docs, locations in Maps) solely for the purposes you specify through the App's assistants.

• Data accessed via Google integrations is used only to fulfill your requests, such as generating reports from Sheets, drafting emails in Gmail, or providing route suggestions in Maps. We do not use this data for any other purpose without your consent.

• You can revoke access to your Google account at any time through Google's account settings or within the App. Upon revocation, ModeAI will cease accessing your Google data.

We comply with Google's API Services User Data Policy and other applicable guidelines. Your use of Google integrations is also subject to Google's Terms of Service and Privacy Policy.

4. User Content and Data

You retain ownership of any content you create, upload, or submit through the App ("User Content"), including data from integrated services. By using the App, you grant us a non-exclusive, worldwide, royalty-free license to access, use, store, and process your User Content as necessary to provide the App's services, including AI processing and integrations.

For Google-integrated data:

• We handle your data securely and in accordance with our Privacy Policy.

• AI assistants may process sensitive information (e.g., email content or document details) to complete tasks, but we implement measures to protect your privacy.

• You are responsible for ensuring that any data you share or process complies with applicable laws and does not infringe on third-party rights.

5. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, disclose, and protect your information, including data from Google integrations. By using the App, you consent to our data practices as described in the Privacy Policy. We recommend reviewing it regularly.

6. Intellectual Property

The App, including its software, design, trademarks, and all associated content (excluding User Content), is owned by us or our licensors and protected by intellectual property laws. You are granted a limited, non-transferable, revocable license to use the App for personal, non-commercial purposes.

You may not:

• Copy, modify, distribute, or reverse-engineer the App.

• Use the App for any illegal or unauthorized purpose.

• Interfere with the App's security or functionality.

7. Prohibited Conduct

You agree not to use the App to:

• Violate any laws, regulations, or third-party rights.

• Transmit harmful code, spam, or unsolicited communications.

• Engage in fraudulent, abusive, or harassing behavior.

• Misuse Google integrations, such as accessing unauthorized data or automating actions in violation of Google's policies.

• Use the AI assistants to generate harmful, illegal, or unethical content.

We reserve the right to monitor usage and take action, including suspension or termination, for violations.

8. Third-Party Services and Integrations

The App integrates with third-party LLMs (e.g., ChatGPT, Grok, Perplexity) and Google services. These are provided "as is," and we are not responsible for their availability, accuracy, or content. Your use of third-party services is governed by their respective terms and policies.

9. Termination

We may terminate or suspend your access to the App at any time, with or without cause, including for violations of these Terms. Upon termination, your license to use the App ends, and we may delete your data.

You may stop using the App at any time.

10. Disclaimers

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, RELIABILITY, OR AVAILABILITY OF THE APP OR INTEGRATED SERVICES.

AI-generated content may contain errors or inaccuracies; you are responsible for verifying it.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the App, violation of these Terms, or infringement of third-party rights.

13. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Raleigh, North Carolina.

14. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via the App or email. Continued use after changes constitutes acceptance.
